OFFICIAL RULES
NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT OF MONEY WILL NOT IMPROVE THE CHANCES OF WINNING. Entrants may obtain entries through purchases or through the free Alternative Method of Entry, as described in these Official Rules.
IMPORTANT: PLEASE READ THESE OFFICIAL RULES CAREFULLY. THESE OFFICIAL RULES INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SEE SECTION 14 BELOW), WHICH REQUIRES THAT DISPUTES BETWEEN YOU AND SPONSOR BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. BY ENTERING THIS SWEEPSTAKES, YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
BEWARE OF SCAMMERS! If you are drawn as a potential winner, you will be contacted by the phone number and email address that you have provided us. You will NEVER be asked to give credit card details, bank information, or make any payments to claim a prize from us. These requests are clear indicators of scams. Additionally, we DO NOT use social media to notify winners of our Giveaways.
The “Prize Panda Sweepstakes” (the “Sweepstakes”) is intended for legal residents of the United States of America (“USA”) and shall only be construed and evaluated according to applicable USA law and applicable state law. Do not enter this Sweepstakes if you do not have residency in the USA or are otherwise ineligible to enter in accordance with these Official Rules at the time of entry.
1. SPONSOR
The Sweepstakes is sponsored by Kize LLC d/b/a Prize Panda, 140 East Broadway Ave Ste 25, Jackson, Wyoming 83001 (the “Sponsor”).
2. ELIGIBILITY
The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia (the “Entrants”) who are at least eighteen (18) years of age, or the age of majority in the Entrant’s state of residence, whichever is greater, at the time of entry. Specifically, Entrants residing in Alabama and Nebraska must be at least nineteen (19) years of age, and Entrants residing in New Jersey must be at least twenty-one (21) years of age (a higher minimum imposed pursuant to New Jersey gaming regulations at NJAC § 13:69O-1.2(s) and § 13:69-1.4(n)(3)). The Sponsor, their respective parent companies, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing (collectively, the “Released Parties”), and members of their immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) are NOT eligible to participate in this Sweepstakes. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification.
NOTE: IF AN ENTRANT (OR A MEMBER OF THE ENTRANT’S IMMEDIATE FAMILY, AS DEFINED ABOVE) HAS WON A SWEEPSTAKES OR CONTEST PRIZE FROM PRIZE PANDA WITHIN THE PAST TWELVE (12) CALENDAR MONTHS, THE ENTRANT IS INELIGIBLE FOR THE GRAND PRIZE IN THIS SWEEPSTAKES.
Void in Puerto Rico, USA territories, and where prohibited or restricted by law. The use of virtual private networks (VPNs), proxy servers, or any other mechanism to disguise, alter, or misrepresent an Entrant’s geographic location is strictly prohibited and shall result in disqualification. Sponsor reserves the right, in its sole discretion, to restrict entry from specific states or jurisdictions at any time by updating these Official Rules on the Website. (For the avoidance of doubt, any references in these Rules to Entrants shall also include the Entrant who is deemed the Winner (as defined below)).
2.1 At-Registration Certification. By creating a PrizePanda account, each Entrant must affirmatively certify, at the time of registration, that the Entrant (a) is at least the minimum age applicable to the Entrant’s jurisdiction as set forth above; (b) is physically located in the United States, in a jurisdiction eligible to participate in the Sweepstakes, at the time of registration; and (c) has read and agreed to these Official Rules and the Terms of Service. The certification is recorded with a timestamp and is part of the Entrant’s record.
2.2 Third-Party Geo-Fencing and IP Validation. Sponsor utilizes industry-standard “know your customer” (KYC) procedures, including third-party geo-fencing and IP-address validation, to identify each Entrant’s location at the time of account creation, account login, qualifying purchase, and prize redemption. Entrants whose location cannot be confirmed, or whose IP address resolves to a jurisdiction outside the eligible United States and the District of Columbia, will not be permitted to earn Sweepstakes entries. The Entrant’s account, the PrizePanda Shop, and AI features remain available regardless of location, but Sweepstakes entries are conditional on a confirmed eligible US location at the time of the qualifying action.
2.3 Location at Time of Play and Redemption. Eligibility requires the Entrant to be physically located in an eligible US state both at the time of any qualifying action that earns Sweepstakes entries and at the time of prize redemption. Residency in an eligible state is not, by itself, sufficient—and residency in an ineligible state will not disqualify a Winner who was physically located in an eligible state at the time of the relevant action. Sponsor maintains a record of each location check for audit purposes.
3. AGREEMENT TO OFFICIAL RULES
By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning the Grand Prize (as defined below) is contingent upon fulfilling all requirements set forth herein.
4. HOW TO ENTER
The Sweepstakes begins at 12:00:01 a.m. Mountain Time (“MT”) on April 1, 2026, and ends at 11:59:59 p.m. MT on October 1, 2026 (“Sweepstakes Period”). The Sponsor’s database computer is the official time-keeping device for the Sweepstakes. Methods of entry are as follows:
4.1 Via Online Purchase. During the Sweepstakes Period, Entrants who make a purchase of merchandise (including, without limitation, apparel, digital posters, and other products) through the Sponsor’s online shop at www.prizepanda.io (the “Website”), will automatically receive one (1) free entry into the Sweepstakes for every whole dollar spent. For the avoidance of doubt, Entrants are purchasing merchandise and sweepstakes entries are provided at no additional cost as a complimentary bonus with each qualifying purchase.
(a) Product Multipliers. During the Sweepstakes Period, select products may earn an increased entry multiplier, ranging from two (2) to ten (10) times the base entry multiplier, as designated and disclosed by Sponsor in connection with such promotional offers.
The number of entries received will be based on the pre-tax amount of your eligible purchase excluding shipping/handling charges, less any discounts.
(c) Bonus Entry Periods. Throughout the Sweepstakes Period, Sponsor may announce sitewide bonus entry periods at the Website and/or on its social media pages (“Bonus Entry Periods”). During a Bonus Entry Period, Entrants who make a qualifying purchase at the Website will automatically receive between two (2) and two hundred (200) times their qualifying entries, as designated and disclosed by Sponsor for that particular Bonus Entry Period.
(d) Stacking. The Product Multipliers in Section 4.1(a) and the Bonus Entry Periods in Section 4.1(c) may stack. If an Entrant purchases a product carrying a Product Multiplier during a Bonus Entry Period, the total entries awarded shall equal the product of the Product Multiplier and the Bonus Entry Period multiplier (e.g., a 2x Product Multiplier purchased during a 100x Bonus Entry Period shall receive 200x total entries).
NOTE: ANY FRAUDULENT ACTIVITY IN CONNECTION WITH THIS SWEEPSTAKES IS STRICTLY PROHIBITED. IT IS FRAUDULENT TO PURCHASE ITEMS TO OBTAIN ENTRIES WITH THE INTENT TO RETURN THESE ITEMS AFTER THE SWEEPSTAKES ENDS. IF THE SPONSOR IDENTIFIES OR SUSPECTS THAT YOU ARE ENGAGED IN THIS OR ANY OTHER FRAUDULENT ACTIVITY, YOU WILL BE DISQUALIFIED AND BANNED FROM ANY FURTHER SWEEPSTAKES OFFERED BY THE SPONSOR.
4.2 Via Quick Entry Purchase or Entry Package. During the Sweepstakes Period, Entrants who purchase Quick Entry products or Entry Packages (digital merchandise and digital bundles, including, without limitation, digital posters, digital collectibles, digital wallpapers, eBooks, AI access bundles, and other digital products or product bundles) through the Website will automatically receive free entries as specified on the product or package listing. The number of entries associated with a given Quick Entry product or Entry Package shall be disclosed at the point of purchase. Entry Packages are flat, one-time awards and do not stack with or multiply against the Product Multipliers in Section 4.1(a) or the Bonus Entry Periods in Section 4.1(c).
4.3 Via Mail (Free Entry Method). During the Sweepstakes Period, Entrants can obtain Sweepstakes entries by legibly hand-printing, on a 3” x 5” card or paper, their full name, complete mailing address, phone number, date of birth, and email address, and mailing the card in a #10 business-sized envelope, with proper postage affixed, to: Prize Panda Sweepstakes, 181 W Valley Ave Ste 245 1793, Birmingham, Alabama, 35209 (the “Mail-In Entry”). All entries must be postmarked by September 24, 2026, and received by October 1, 2026. Each mail-in entry received will be worth ten thousand (10,000) Sweepstakes entries. If a mail-in entry is postmarked during a Bonus Entry Period, it will be worth twenty thousand (20,000) to two million (2,000,000) Sweepstakes entries (corresponding to a maximum multiplier of two hundred (200) times the base mail-in entry value). For bonus entries to be valid, the Entrant must write between 2x to 200x on the bottom left-hand corner of the envelope to signify what Bonus Entry Period they are entering during. If an Entrant lists a Bonus Period that is inaccurate with the postmark date, the entry will be disqualified. If no multiplier is written on the envelope, the mail-in entry shall be credited at the base value of ten thousand (10,000) Sweepstakes entries regardless of whether the entry is postmarked during a Bonus Entry Period, and the Entrant shall not be entitled to any Bonus Entry Period multiplier for that entry. There is no limit on the number of mail-in entries an Entrant may submit, provided that each entry is mailed separately in its own envelope. To receive free entries equivalent to a Quick Entry product listed on the Website, an Entrant may write the name of the applicable Quick Entry product on the mail-in entry card, and Sponsor shall credit the Entrant with the same number of entries that such Quick Entry product would provide if purchased, subject to a limit of one (1) Quick Entry equivalence claim per mail-in entry.
NOTE: Mail-in entry card and envelope must be hand-printed by the Entrant only. In addition, Entrants are not permitted to use any 3rd party organization to assist with the entry process in any way (as determined by the Sponsor). Each envelope must be mailed individually. Bulk shipments of entries will not be accepted. No correspondence will be acknowledged or entered into; requests for confirmation of receipt of mail-in entries will not be acknowledged.
4.4 General Entry Conditions. To be valid, each entry must provide all requested information. Proof of entry information at the Website is not considered proof of delivery to or receipt by Sponsor of an entry. Entries made by any other individual or any entity, and/or originating at any other website or email address, including, but not limited to, commercial Sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of automated entry devices is prohibited, and no mechanically reproduced entries are allowed; all such entries are void. The Released Parties are not responsible for late, incomplete, delayed, undelivered, or misdirected entries. All entries become the exclusive property of Sponsor and will not be acknowledged or returned except as provided herein. By participating, you consent to Sponsor’s and its agents’ use of your personal information for the administration of this Sweepstakes, or in any other manner consistent with Sponsor’s Privacy Policy, available at www.prizepanda.io/policies/privacy-policy.
5. GENERAL CONDITIONS
If for any reason the operation or administration of this Sweepstakes is impaired or incapable of running as planned for any reason, including but not limited to (i) infection by computer virus, bugs, (ii) tampering, unauthorized intervention, (iii) fraud, (iv) technical failures, or (v) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award the Grand Prize (defined below) using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules. Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be tampering or attempting to tamper with the entry process or the operation of the Sweepstakes or Sponsor’s Website; or acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner.
5.1 Sweepstakes Modification. Sponsor reserves the right, in its sole discretion, to change, modify, suspend, delay, or cancel the Sweepstakes (or any portion thereof), including the Grand Prize Options, at any time, with or without prior notice, by updating these Official Rules on the Website. In the event Sponsor changes, modifies, suspends, delays, or cancels the Sweepstakes, Entrants may not be entitled to the Grand Prize or any other prize, compensation, or monetary value whatsoever, as determined by Sponsor in its sole discretion, and Sponsor will have no further obligation to any Entrant. In the event of any modification that does not result in cancellation, all entries validly received prior to the modification shall remain eligible unless Sponsor determines otherwise. No Entrant shall have any claim against Sponsor arising from any change, modification, suspension, delay, or cancellation of the Sweepstakes or the Sweepstakes Period.
5.2 Disqualification. In addition to any other disqualification rights set forth in these Official Rules, Sponsor reserves the right, in its sole and absolute discretion, to disqualify any Entrant or potential Winner at any time and for any reason, including but not limited to: (i) failure to comply with these Official Rules; (ii) engaging in conduct that Sponsor determines, in its sole judgment, to be fraudulent, deceptive, dishonest, or otherwise objectionable; (iii) making any misrepresentation in connection with the Sweepstakes or the Grand Prize claim process; (iv) engaging in any activity that Sponsor believes may jeopardize the integrity or reputation of the Sweepstakes or Sponsor; (v) any other conduct that Sponsor reasonably determines compromises the integrity of the Sweepstakes; (vi) filing or causing to be filed a chargeback, payment dispute, or payment reversal with any payment provider, bank, or financial institution in connection with any purchase that included sweepstakes entries (any such chargeback or dispute shall constitute an automatic and irrevocable forfeiture of all sweepstakes entries and any prize, whether pending, drawn, or awarded, associated with the disputed transaction and any other transactions on the same account); or (vii) failure to pass Sponsor’s identity verification or KYC process, identification on any government sanctions list (including, without limitation, the U.S. Department of the Treasury’s Office of Foreign Assets Control Specially Designated Nationals and Blocked Persons List), or being flagged in connection with suspected money laundering, terrorist financing, or other illicit financial activity. Any refund or return of merchandise shall result in the automatic voiding of all sweepstakes entries associated with that transaction. Any disqualification decision by Sponsor is final and binding and not subject to appeal or review. Upon disqualification, an Entrant forfeits all entries and any right to the Grand Prize, and Sponsor may, at its sole discretion, select an alternate Winner from among the remaining eligible entries.
5.3 Cancellation. Sponsor reserves the right, in its sole discretion, to cancel the Sweepstakes at any time for any reason, including but not limited to circumstances that compromise the integrity, administration, or fairness of the Sweepstakes. In the event of cancellation, Sponsor shall have no obligation to award the Grand Prize or any compensation to Entrants. If Sponsor cancels the Sweepstakes after entries have been received, Sponsor may, at its sole discretion, conduct a drawing from among all eligible, non-suspect entries received prior to cancellation, but is under no obligation to do so.
5.4 Social Media Conduct. Any Entrant posting or seen to be posting comments on Sponsor’s social media pages, the Website, or elsewhere during the course of the Sweepstakes that are, in Sponsor’s sole judgment, considered bullying, harassing, threatening, spiteful, defamatory, or upsetting to other Entrants, the Sponsor, or any other person, or that are directly aimed at disparaging the Sponsor, the Sweepstakes, or the Grand Prize, will have their comments removed and may be disqualified from the Sweepstakes at Sponsor’s sole discretion. Sponsor reserves the right to alert the operators of any social media platforms to any such behavior.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of a Winner based on an email address, the winning entry will be declared by the authorized account holder of the email address associated with the registration in question. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
6. RELEASE AND LIMITATIONS OF LIABILITY
By participating in the Sweepstakes, Entrants agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Grand Prize, including, but not limited to: (i) any technical errors that may prevent an Entrant from submitting an entry; (ii) unauthorized human intervention in the Sweepstakes; (iii) printing errors; (iv) errors in the administration of the Sweepstakes or the processing of entries; or (v) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt of the Grand Prize. Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. For New Jersey Residents: nothing herein bars recovery of damages or attorneys’ fees where mandated by statute.
6.1 Disclaimer of Warranties. THE SWEEPSTAKES, THE WEBSITE, AND ALL GRAND PRIZE COMPONENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, SPONSOR MAKES NO WARRANTY: (A) THAT THE SWEEPSTAKES OR WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) THAT DEFECTS OR ERRORS WILL BE CORRECTED; (C) THAT THE SWEEPSTAKES OR WEBSITE WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; (D) AS TO THE QUALITY, ACCURACY, OR COMPLETENESS OF ANY INFORMATION IN CONNECTION WITH THE SWEEPSTAKES; OR (E) THAT YOUR PARTICIPATION IN THE SWEEPSTAKES WILL MEET YOUR EXPECTATIONS. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR LIMITATION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU, BUT ONLY TO THE EXTENT REQUIRED BY APPLICABLE LAW.
6.2 Except as expressly provided above, IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE GRAND PRIZE.
6.3 IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL LIABILITY TO ANY ENTRANT FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00 USD) OR THE ACTUAL OUT-OF-POCKET COSTS INCURRED BY THE ENTRANT TO ENTER THE SWEEPSTAKES.
By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or misuse of, or any harm resulting from the acceptance, possession, use or misuse of the Grand Prize. Released Parties are not liable in the event that any portion of the Sweepstakes is cancelled due to weather, fire, strike, acts of war or terrorism, pandemic, or any other condition beyond their control.
EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE USA ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
7. DRAWING AND NOTIFICATION
7.1 Drawing Date and Odds. The potential Grand Prize Winner will be selected in a random drawing conducted by the Sponsor on or about October 2, 2026. Odds of winning the Grand Prize will depend on the total number of eligible entries received throughout the Sweepstakes Period.
7.2 Entry Cutoff and Finalization. The entry period closes at the end of the Sweepstakes Period (the “Entry Cutoff”). Promptly after the Entry Cutoff, Sponsor will finalize the pool of eligible entries by excluding any entries voided, forfeited, or disqualified under these Official Rules (including under Sections 4.3, 5.2, and 9.3), and will consolidate the remaining eligible entries into the “Final Entry List.”
7.3 Draw Procedure. The Winner will be selected from the Final Entry List using a cryptographically secure pseudorandom number generator (“CSPRNG”).
7.4 Entry List Snapshot and Draw Records. At the time of finalization, Sponsor will generate a cryptographic hash (using SHA-256 or a successor algorithm of equivalent or greater strength) of the Final Entry List and will publish such hash publicly after the Entry Cutoff so that the finalized entry list is independently verifiable. Sponsor will preserve (i) the Final Entry List, (ii) the corresponding hash value, (iii) the CSPRNG output and the selected entry index, and (iv) the identity of the selected Entrant (collectively, the “Draw Records”). The Draw Records will be retained by Sponsor for a period of not less than three (3) years following the drawing date, or longer if required by applicable law, and will be made available to regulators and the Sponsor’s legal counsel upon reasonable request. Sponsor’s Draw Records shall be the official and governing record in the event of any dispute concerning the selection of the Winner.
7.5 Notification. The potential Winner will be contacted by Sponsor via phone and/or email using the contact information provided by the Entrant at the time of entry.
8. GRAND PRIZE
8.1 Grand Prize. There will be one (1) Grand Prize, consisting of (a) a vehicle requested by the Winner, subject to Sponsor’s confirmation, with an Approximate Retail Value (“ARV”) of up to Two Hundred Fifty Thousand Dollars ($250,000) (the “Grand Prize Vehicle”), together with (b) a cash payment of One Hundred Thousand Dollars ($100,000) (the “Cash Component”) as further described in Section 8.3 (collectively, the “Grand Prize”). The total ARV of the Grand Prize, inclusive of the Cash Component, shall not exceed Three Hundred Fifty Thousand Dollars ($350,000).
Vehicles eligible for selection by the Winner include, but are not limited to: (i) McLaren 720S; (ii) Porsche 911 GT3 RS; (iii) Lamborghini Huracán; (iv) Ferrari F8 Tributo; (v) 1969 Chevrolet Camaro; (vi) Ford Raptor; and (vii) Harley-Davidson motorcycle (model to be specified by Sponsor). The foregoing examples are illustrative and non-exhaustive; the Winner may request any street-going production vehicle within the ARV cap set forth above, subject to Sponsor’s confirmation prior to procurement. Sponsor reserves the right, in its sole discretion, to substitute a comparable vehicle of equal or lesser ARV pursuant to Section 8.4 if the vehicle requested by the Winner is unavailable, cannot be sourced, or cannot be lawfully delivered to the Winner’s jurisdiction.
The Winner must respond to the initial prize notification and submit, in writing, the year, make, model, and trim of the requested vehicle within forty-eight (48) hours of the first notification attempt, together with any other information reasonably requested by Sponsor for procurement purposes. Failure to respond or submit a timely vehicle request within this period shall entitle the Sponsor to select the Grand Prize Vehicle on the Winner’s behalf, in Sponsor’s sole discretion, or to disqualify the Winner pursuant to Section 9.3. The specific make, model, year, trim, color, and specifications of the vehicle ultimately delivered shall be subject to Sponsor’s procurement availability and confirmation. The ARV for tax reporting purposes shall correspond to the actual retail value of the vehicle furnished to the Winner together with the Cash Component.
8.2 Prize Modification. Sponsor reserves the right, in its sole discretion, to substitute the Grand Prize at any time with a prize of equal or greater value. Any such change shall be disclosed by updating these Official Rules on the Website pursuant to Section 12. Any modification shall not affect the validity of entries previously received.
8.3 Cash Component. The Cash Component of One Hundred Thousand Dollars ($100,000) shall be awarded to the Winner regardless of the vehicle requested or ultimately delivered as the Grand Prize Vehicle. The Cash Component will be paid via check or wire transfer within thirty (30) days of Sponsor’s final verification of Winner’s eligibility and completion of all required documentation.
The value of the Grand Prize set forth above represents Sponsor’s good faith determination of the ARV thereof, and such determination is final and binding and cannot be appealed. If the actual value of any Grand Prize component is lower than the stated ARV when the Grand Prize is procured and fulfilled, the difference will not be awarded.
8.4 Prize Unavailability, Damage, or Substitution. If, prior to delivery of the Grand Prize Vehicle to the Winner, Sponsor determines in its sole discretion that the vehicle requested by the Winner cannot or should not be delivered for any reason (including, without limitation, manufacturer discontinuation, supply chain disruption, recall, regulatory restriction, or commercial unavailability), Sponsor shall notify the Winner and reserves the right, in its sole discretion, to: (i) request that the Winner submit an alternative vehicle request within the ARV cap set forth in Section 8.1; (ii) substitute a vehicle of comparable kind, quality, and value with an ARV of up to Two Hundred Fifty Thousand Dollars ($250,000); (iii) provide the Winner with a cash payment equal to the stated ARV of the vehicle component of the Grand Prize in lieu of the vehicle; or (iv) offer the Winner a choice among any combination of the foregoing. Sponsor’s determination of a comparable substitute vehicle or cash equivalent shall be final and binding. The Winner shall have no claim against Sponsor for any difference in value, features, specifications, color, model year, or condition between the originally requested vehicle and any substitute vehicle. The Cash Component of One Hundred Thousand Dollars ($100,000) under Section 8.3 shall be paid to the Winner regardless of how the vehicle component of the Grand Prize is fulfilled under this Section 8.4.
8.5 Prize Fulfillment Timeline. Sponsor shall use commercially reasonable efforts to deliver the vehicle component of the Grand Prize within one hundred twenty (120) days of the later of: (i) the Winner’s completion of all required Grand Prize Claim documentation, including the Affidavit of Eligibility, Prize Claim Agreement, in-person identity verification, and tax documentation; or (ii) Sponsor’s procurement of the requested vehicle. The foregoing timeline is an estimate only and shall not create any binding obligation on Sponsor. Sponsor shall not be liable for any delay in Grand Prize fulfillment caused by, including but not limited to: vehicle procurement, manufacturing, or delivery lead times; title, registration, or documentation processing; shipping or transportation delays; Force Majeure Events (as defined in Section 11); Winner’s failure to timely provide required documentation or information; or any other cause beyond Sponsor’s reasonable control. No delay in Grand Prize fulfillment, regardless of duration or cause, shall entitle the Winner to any additional compensation, damages, interest, penalty, or alternative remedy, nor shall any such delay constitute a breach of these Official Rules or any obligation of Sponsor. The Winner’s sole remedy for any delay shall be to wait for delivery or, if offered by Sponsor in its sole discretion, to accept a substitute vehicle or cash equivalent pursuant to Section 8.4 above.
8.6 Vehicle Prize Conditions. Any vehicle awarded as part of the Grand Prize will be awarded “AS IS” without warranty by Sponsor of any kind. The vehicle will, however, carry the standard manufacturer’s limited warranty (if any) provided by the vehicle manufacturer, which warranty runs directly between the manufacturer and the Winner and is the Winner’s sole recourse with respect to defects in materials or workmanship. Winner acknowledges that Sponsor has not made nor is in any manner responsible for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any vehicle offered or delivered in the Sweepstakes, including but not limited to its quality, mechanical condition, fitness for a particular purpose, or road legality in the Winner’s state, county, or municipality of residence. The vehicle may not meet safety, emissions, noise, or other regulatory testing or standards required in some states, counties, or municipalities, and may not be street-legal, registerable, or insurable in the Winner’s jurisdiction. Sponsor makes no representation that any vehicle requested by, offered to, or delivered to the Winner is road-legal, registerable, or compliant with any federal, state, or local law, regulation, or ordinance in any jurisdiction. Winner is solely responsible for determining, prior to accepting the Grand Prize, whether the requested vehicle can be legally registered, titled, insured, and operated in the Winner’s state of residence and must use the vehicle in accordance with all applicable laws and regulations. If a vehicle cannot be legally registered, titled, insured, or operated in the Winner’s state of residence at the time of prize fulfillment due to state or local law, regulation, or prohibition, Sponsor shall, at Sponsor’s election, either (i) offer the Winner the opportunity to request a different vehicle within the ARV cap set forth in Section 8.1, or (ii) substitute a cash payment equal to the stated ARV of the vehicle component of the Grand Prize in lieu of the vehicle, in accordance with Section 8.4(iii). In either case, the Cash Component of One Hundred Thousand Dollars ($100,000) shall be paid to the Winner. Winner accepts all risk associated with any such restrictions and acknowledges that Sponsor shall have no liability arising from the Winner’s inability to register, title, insure, or operate the vehicle in any jurisdiction. Furthermore, if any federal, state, or local law, regulation, or ordinance enacted or taking effect after delivery of the vehicle to the Winner renders the vehicle illegal to own, register, operate, or insure in the Winner’s jurisdiction, Sponsor shall have no obligation to substitute, replace, repurchase, or compensate the Winner for the vehicle, and Winner assumes all risk of any change in law, regulation, or enforcement affecting the vehicle after delivery. Any and all costs associated with registration, licensing, title transfer, transportation, delivery, insurance, inspections, modifications required for compliance, and any other expenses related to the vehicle are the sole responsibility of the Winner. The Winner must possess required travel documents (e.g., a government-issued ID), as applicable.
NOTE: Substitution, assignment, or transfer of the Grand Prize or any Grand Prize component is not permitted, except by Sponsor, who reserves the right to substitute the Grand Prize or any Grand Prize component with another of equal or greater value.
9. ADDITIONAL PRIZE CONDITIONS AND WINNER VERIFICATION
By accepting the Grand Prize, the Winner agrees to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Grand Prize.
9.1 Prize Claim Process. The potential Winner must complete ALL of the following steps to claim the Grand Prize:
(a) Affidavit, Release, and Prize Claim Agreement. Within three (3) calendar days of the Winner’s submission of their Grand Prize Option selection (or, if Sponsor selects the Grand Prize Option on the Winner’s behalf, within three (3) calendar days of Sponsor’s notification of such selection), the potential Winner must sign and return to Sponsor: (1) a completed Affidavit of Eligibility, Liability & Publicity Release; and (2) an executed Prize Claim Agreement, in a form provided by Sponsor, setting forth the specific Grand Prize Option selected, the total ARV for tax reporting purposes, delivery logistics, and any additional terms governing acceptance and use of the Grand Prize. Failure to return both documents within this period shall result in disqualification.
(b) In-Person Identity Verification. Within thirty (30) days of Sponsor’s receipt of the executed Affidavit and Prize Claim Agreement, the potential Winner must complete in-person identity verification at a location designated by Sponsor. At the verification appointment, the potential Winner must present a valid, unexpired government-issued photo identification document (e.g., driver’s license, passport, or state-issued ID card). The name on the identification document must match the name provided at the time of entry. Sponsor reserves the right to request additional forms of identification, including but not limited to a valid passport, secondary government-issued photo ID, proof of residency, or any other documentation Sponsor deems necessary to verify the potential Winner’s identity and eligibility to Sponsor’s reasonable satisfaction. Failure to complete in-person identity verification within the thirty (30) day period or to provide requested identification documentation shall result in disqualification. The in-person verification appointment will also include the creation of promotional content, including but not limited to photography, video recording, and interviews, which the potential Winner must participate in as a condition of prize fulfillment. Winner consents to such content creation pursuant to the publicity release granted in Section 9.4. Marketing Materials may be edited, enhanced, or modified by Sponsor using any tools or technology, including artificial intelligence, digital editing, or other post-production tools, without Winner’s further consent or approval. Failure or refusal to participate in the creation of promotional content shall result in disqualification.
(c) Background and Driving Record Check. As a condition of receiving any vehicle prize, the potential Winner must consent to a background check and driving record review conducted by Sponsor or a third-party screening provider. Refusal to consent to a background or driving record check shall result in disqualification. If the results of such check reveal information that, in Sponsor’s sole and absolute discretion, (i) poses a safety or liability risk in connection with Winner’s operation of the vehicle, or (ii) would render the association of Sponsor’s brand with the Winner inappropriate or materially harmful to Sponsor’s commercial interests, Sponsor reserves the right, at Sponsor’s sole election, to (A) default the Winner to the cash equivalent of the vehicle component of the Grand Prize in lieu of the vehicle, or (B) disqualify the Winner and select an alternate Winner pursuant to Section 9.3.
(d) Vehicle Operation. Winner acknowledges that operation of any vehicle awarded as part of the Grand Prize requires a valid driver’s license (and, for motorcycle prizes, any applicable motorcycle endorsement) and legally required vehicle insurance in Winner’s state of residence. Winner is solely responsible for obtaining both prior to operating the vehicle. Sponsor shall have no liability for Winner’s operation of the vehicle without a valid driver’s license, motorcycle endorsement, or insurance.
(e) Tax Documentation. Prior to delivery of any Grand Prize component, the potential Winner must provide a valid Social Security Number (“SSN”) or Taxpayer Identification Number (“TIN”) and complete an IRS Form W-9 for tax reporting purposes. The SSN/TIN will be used solely for the purpose of issuing an IRS Form 1099-MISC (or applicable successor form) reflecting the ARV of the Grand Prize. The Winner will be responsible for all local, state, and federal taxes associated with the receipt of the Grand Prize. The Winner acknowledges that the value of the accepted Grand Prize is taxable as income. Sponsor reserves the right to withhold and deduct from the Cash Component, or require Winner to remit to Sponsor, any amounts required by applicable federal, state, or local tax law.
9.2 Erroneous Prize Award. In the event that the Grand Prize or any Grand Prize component is awarded in error, such award shall be void. The potential Winner agrees that any Grand Prize or Grand Prize component awarded in error shall be returned to Sponsor promptly upon notification, and any Grand Prize value received in error shall be considered a debt owed to Sponsor by the recipient. Sponsor retains absolute discretion in the event of any discrepancy between information displayed on a user’s device or in any communication and Sponsor’s server records; Sponsor’s server records shall be the official and governing record in all cases.
9.3 Forfeiture and Alternate Winner. If a Grand Prize or Grand Prize notification is returned as unclaimed or undeliverable to the potential Winner, if a potential Winner cannot be reached or does not respond and submit a Grand Prize Option selection within forty-eight (48) hours from the first notification attempt, if a potential Winner fails to return the Affidavit and Prize Claim Agreement within the three (3) calendar day period specified in Section 9.1(a), if a potential Winner fails to complete in-person identity verification within the thirty (30) day period specified in Section 9.1(b), if a potential Winner is disqualified for any reason under these Official Rules, or if a potential Winner is not in compliance with these Official Rules, then such person shall be disqualified and forfeit all rights to the Grand Prize, and, at Sponsor’s sole discretion, an alternate Winner may be selected from among the remaining eligible entries. Sponsor may repeat this process until a qualified Winner is confirmed or until Sponsor determines, in its sole discretion, that no further alternate selection attempts will be made.
9.4 Publicity. By accepting the Grand Prize, where permitted by law, the Winner grants to the Released Parties and those acting pursuant to the authority of Sponsor and the Released Parties (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time their full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. The Winner also acknowledges that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Grand Prize.
10. PRIVACY
Any personally identifiable information collected during an Entrant’s participation in the Sweepstakes will be collected and used by Sponsor and its designees for the administration and fulfillment of the Sweepstakes and as otherwise described in these Official Rules and Sponsor’s Privacy Policy, available at www.prizepanda.io/policies/privacy-policy. By entering the Sweepstakes, each Entrant consents to the collection, use, and disclosure of their personal information as described herein and in the Privacy Policy.
11. FORCE MAJEURE
In the event of a Force Majeure Event (as defined below), Sponsor may, in its sole discretion, reschedule, delay, postpone, alter, modify, or cancel the Sweepstakes, in whole or in part, without liability to any Entrant. As used herein, “Force Majeure Event” means the interruption of, or material interference with, Sponsor’s ability to conduct the Sweepstakes or to procure, deliver, or award the Grand Prize by any cause or occurrence not within Sponsor’s reasonable control, including, but not limited to: fire; flood; earthquake; hurricane; tornado; epidemic or pandemic; public health emergency; explosion; act of God or public enemy; satellite or equipment failure; riot or civil disturbance; war (declared or undeclared); terrorist threat or activity; strike or labor dispute; supply chain disruption; manufacturer delay or discontinuation; vehicle recall; shipping or transportation failure; import/export restriction; any federal, state, or local government law, order, regulation, or action; order of any court or regulatory body; utility or infrastructure failure; cyberattack or data breach; or any other event or circumstance beyond Sponsor’s reasonable control. In the event of cancellation due to a Force Majeure Event, Sponsor shall have no obligation to award the Grand Prize or any compensation to Entrants. If Sponsor modifies the Sweepstakes due to a Force Majeure Event, all entries validly received prior to the modification shall remain eligible unless Sponsor determines otherwise in its sole discretion.
12. RULES MODIFICATION
Sponsor reserves the right to amend, modify, or supplement these Official Rules at any time, in its sole discretion, by posting the updated Official Rules on the Website. It is each Entrant’s responsibility to review these Official Rules periodically for any changes. By entering the Sweepstakes or by continuing to participate in the Sweepstakes after Sponsor posts changes to these Official Rules, Entrants accept all changes thereto. Any material change to the structure or value of the Grand Prize shall be posted on the Website. Sponsor’s failure to notify any individual Entrant of any change to these Official Rules shall not affect the validity or enforceability of such change.
13. DISPUTES
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants and Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s or jurisdiction’s laws. By participating in the Sweepstakes, Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, shall be resolved individually without resort to any form of class action; (ii) any judicial proceeding not subject to the Binding Arbitration and Class Action Waiver in Section 14 shall take place in a court of competent jurisdiction within the State of Wyoming, and Entrant consents to the exclusive jurisdiction and venue of such courts; (iii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event will attorney fees be awarded or recoverable (subject in all cases to the limitation of liability set forth in Section 6 above); (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to seek, punitive, incidental, exemplary, consequential, special damages, lost profits, other damages, and/or any rights to have damages multiplied or otherwise increased; and (v) Entrant’s remedies are limited to a claim for money damages (if any) and he/she waives any right to seek injunctive or equitable relief.
14. BINDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
14.1 Agreement to Arbitrate. By entering or participating in the Sweepstakes, you and Sponsor agree that any past, pending, or future dispute, claim, or controversy arising out of or relating to the Sweepstakes, these Official Rules, or the Grand Prize (including, without limitation, any dispute concerning the breach, enforcement, construction, validity, interpretation, enforceability, or arbitrability of this section or these Official Rules) (each, a “Dispute”), shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect, except as modified by this section. The AAA Consumer Arbitration Rules are available at www.adr.org.
14.2 Arbitration Procedures. The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA Consumer Arbitration Rules. The arbitration shall be held in Teton County, Wyoming, or in the county of the Entrant’s residence, or, at the election of either party, by telephone or videoconference. The arbitrator shall apply Wyoming law consistent with the Federal Arbitration Act. The arbitrator shall have exclusive authority to resolve any Dispute, including the scope, validity, and enforceability of this arbitration agreement. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
14.3 Arbitration Fees. If you initiate arbitration, you will be responsible for paying an initial filing fee as required by the AAA Consumer Arbitration Rules, but in no event more than Two Hundred Fifty Dollars ($250.00). Sponsor shall bear all remaining arbitration fees and costs. Each party shall bear its own attorneys’ fees and costs, unless the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose, in which case the arbitrator may award reasonable attorneys’ fees to the prevailing party.
14.4 Class Action Waiver. YOU AND SPONSOR AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR SPONSOR SHALL BE ENTITLED TO JOIN, CONSOLIDATE, OR INCLUDE ANY CLAIMS BELONGING TO OR ALLEGED BY ANY OTHER PERSON OR ENTITY, OR ARBITRATE OR LITIGATE ANY DISPUTE IN A REPRESENTATIVE CAPACITY, INCLUDING, WITHOUT LIMITATION, AS A CLASS REPRESENTATIVE, MEMBER OF ANY PROPOSED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL SUIT, OR ANY OTHER REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONDUCT A CLASS-WIDE ARBITRATION OR TO AWARD RELIEF TO ANYONE OTHER THAN THE INDIVIDUAL PARTY SEEKING RELIEF.
14.5 Jury Trial Waiver. BY ENTERING THE SWEEPSTAKES, YOU AND SPONSOR EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES, WHETHER IN ARBITRATION OR IN ANY COURT PROCEEDING.
14.6 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of such court, provided that the action remains in small claims court and is not removed or transferred to a court of general jurisdiction.
14.7 Opt-Out. You may opt out of this arbitration agreement by sending a written notice to Sponsor at support@prizepanda.io with the subject line “Arbitration Opt-Out” within thirty (30) days of your first entry into the Sweepstakes. The opt-out notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out of arbitration, all other provisions of these Official Rules shall remain in full force and effect, including the class action waiver, jury trial waiver, and the requirement that Disputes be resolved individually.
14.8 Severability of Arbitration Provisions. If any provision of this Section 14 is found to be unlawful, void, or unenforceable, that provision shall be severed and the remainder of this Section 14 shall remain in full force and effect. If the class action waiver in Section 14.4 is found to be unenforceable, then the entirety of this Section 14 shall be null and void, but all other provisions of these Official Rules shall remain in effect.
15. SEVERABILITY
The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein. To the fullest extent allowable by law and equity, any such provision may be construed by the presiding forum to give effect to the intent of the parties and consistent with the overall purpose of these Official Rules, and may be deemed replaced by an enforceable provision that comes closest to the intention underlying the unenforceable provision.
16. MISCELLANEOUS
These Official Rules contain the full and complete understanding with respect to the Sweepstakes and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written, except as modified pursuant to Section 12 above. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. The rights and obligations hereunder may not be assigned by Entrant, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void. These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of Sponsor and Entrant.
17. NOT SPONSORED BY VEHICLE MANUFACTURERS OR SOCIAL MEDIA PLATFORMS
This Sweepstakes is not in any manner sponsored, endorsed, administered by, or associated with any vehicle manufacturer, including, without limitation, McLaren Automotive, Porsche, Lamborghini, Ferrari, Ford Motor Company, Harley-Davidson, Chevrolet, General Motors, or any other vehicle manufacturer whose vehicle may be requested or selected by a Winner, or any of their respective parent companies, subsidiaries, or affiliates.
